These terms (the "Terms") govern your use of (a) the Saneops hosted
service at app.saneops.in and any successor or sub-domain
of saneops.in (the "Hosted Service"), and (b) any Saneops
binary, container image, or installer that you install, configure, or
run on infrastructure controlled by you or your organisation (the
"Self-Hosted Software"; together with the Hosted Service, the
"Service").
By creating an account on the Hosted Service or by installing, copying, or running the Self-Hosted Software, you agree to these Terms. If you do not agree, you must not access or use the Service.
If you have signed a separate written Beta Program Agreement, Master Subscription Agreement, or Order Form with us, that agreement governs your use of the Service to the extent of any conflict with these Terms.
1. License
Subject to your continued compliance with these Terms and your timely payment of any applicable fees, Omprakash Kumar, sole proprietor trading as "Saneops" ("we", "us", "our") grants you a non-exclusive, non-transferable, non-sublicensable, revocable licence to access the Hosted Service, and to install and run the Self-Hosted Software, solely for your internal business operations.
You may NOT:
- redistribute the Software in any form;
- offer the Software (or any feature of it) to third parties as a hosted, managed, embedded, or "as-a-service" offering;
- create derivative works;
- reverse engineer, decompile, or disassemble (except as expressly permitted by mandatory local law);
- remove or alter any proprietary notice;
- use the Software to develop a competing product;
- exceed the limits of your subscription tier (alerts ingested per month, tenant count, etc.).
2. Subscription tiers
Self-hosted use of Saneops is offered under tiered subscriptions. The applicable tier is determined by the license key you install. Without a valid key, the Software runs in a Free tier with usage caps documented in our pricing page.
Exceeding the limits of your tier may result in feature gating or, after a notification grace period, in the Software refusing to ingest further events until the tier is upgraded or usage normalizes.
3. Updates and support
Customers on paid tiers receive bug fixes and security updates for the duration of their subscription. Major version upgrades may require a new agreement.
We provide support according to the SLA in your subscription tier. Free tier users are encouraged to use community channels (when available); we make no commitment to respond to free-tier requests.
4. Acceptable use
You shall not, and shall not permit any of your users or third parties to: (a) use the Service in violation of applicable law or the rights of any third party; (b) inject, fabricate, or replay alert payloads not generated by your own monitoring systems; (c) attempt to access another tenant's data, probe Saneops's multi-tenant isolation, or circumvent rate limits / quotas / CSRF / authentication controls; (d) use the Service to send unsolicited communications or spam; (e) upload malware or content that is unlawful, infringing, or harmful; (f) use the Service in any "High-Risk Use" — including life-support, nuclear facilities, mass transit, weapons, or any application where failure or inaccuracy could reasonably lead to death, personal injury, or severe property or environmental damage; or (g) use the Service to develop or benchmark a competing product. We may suspend access for material violations of this section without notice.
5. Customer data and BYOK LLM providers
You retain all right, title, and interest in the alert, incident, configuration, and other data you submit to the Service ("Customer Data"). You grant us a limited licence to host, transmit, process, and display Customer Data solely as necessary to provide the Service. When you configure a third-party LLM provider with your own API key ("BYOK"), you authorise us to transmit alert / incident payloads to that provider for the purpose of generating root-cause analyses; that processing is governed by your contract with the LLM provider, not by us. You are responsible for obtaining any consents, DPAs, or addenda required between you and your LLM provider.
6. AI / LLM output disclaimer
Saneops uses large language models to draft root-cause analyses, correlation explanations, and other operational summaries. LLM outputs may be inaccurate, incomplete, or hallucinated. You are solely responsible for reviewing, verifying, and acting on any output before relying on it in production, customer communication, or regulated decision-making. Saneops makes no representation that LLM-generated content is accurate, fit for a particular purpose, or safe to act on without human review.
7. Telemetry
The Self-Hosted Software sends a periodic anonymous beacon to
license.saneops.in/beacon containing the installation
identifier, software version, your licence sub claim,
and aggregate counters (e.g. total alerts ingested per interval).
The beacon does NOT include alert payload contents, labels,
annotations, hostnames, or end-user PII. You may disable the beacon
by setting LICENSE_PHONE_HOME_DISABLE=true in the
container's environment. The Hosted Service does not phone home to
any third-party analytics service by default.
8. Confidentiality
The Self-Hosted Software contains trade secrets. You agree to use commercially reasonable measures to protect it from unauthorised access or disclosure, and to limit internal access to personnel with a clear need-to-know.
9. Beta service
While the Service is offered free of charge under our beta program, the separate Saneops Beta Program Agreement applies. The Service is provided as-is, without uptime, performance, or support-response service levels. We may modify, suspend, or discontinue beta features at any time. Service-level commitments will be introduced with paid plans.
10. Term and termination
These Terms apply for as long as you access the Hosted Service or hold a valid Self-Hosted licence. Either party may terminate for convenience on thirty (30) days' written notice. We may suspend or terminate immediately for material breach (including non-payment, licence violation, AUP violation, or competitive use). On termination you must stop using the Service and, for the Self-Hosted Software, delete all copies within thirty (30) days. We will provide a machine-readable export of your account data on request within thirty (30) days of termination, after which Customer Data will be deleted from active systems within thirty (30) days and from backups within ninety (90) days, except as required by applicable law.
11. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA. EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, IN ANY 12-MONTH PERIOD, SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID OR PAYABLE BY YOU TO US DURING THAT PERIOD AND (B) UNITED STATES DOLLARS ONE HUNDRED (US$100). THE FOREGOING DOES NOT LIMIT LIABILITY FOR (i) FRAUD, GROSS NEGLIGENCE, OR WILFUL MISCONDUCT; (ii) BREACH OF SECTION 4 (ACCEPTABLE USE) OR SECTION 8 (CONFIDENTIALITY); (iii) A PARTY'S INDEMNIFICATION OBLIGATIONS; OR (iv) AMOUNTS THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
13. Indemnification
You shall indemnify, defend, and hold harmless Saneops against any third-party claim arising from (a) your Customer Data, (b) your breach of Section 4 or applicable law, or (c) your combination of the Service with other software or services not provided by us. We shall defend you against any third-party claim alleging that the Service, used in accordance with these Terms, infringes a valid copyright, patent, or trade-secret right registered in India, and shall pay amounts finally awarded; this obligation does not apply to modifications, combinations, or Customer Data. The standard procedure (prompt notice, sole control of defence, reasonable cooperation) applies to both directions.
14. Modifications
We may modify these Terms from time to time. Material changes will be notified at least thirty (30) days in advance via email to account admins or via a banner on app.saneops.in; non-material changes (typo fixes, contact updates) take effect on posting. Continued use of the Service after the effective date of a change constitutes acceptance.
15. Force majeure
Neither party is liable for failure or delay in performing non-payment obligations caused by events beyond its reasonable control (acts of God, war, civil unrest, internet or telecom outages, governmental action, pandemic, natural disaster).
16. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of India, without regard to conflict-of-laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded. Subject to the next sentence, the courts of Jamshedpur, Jharkhand, India have exclusive jurisdiction. Where you are incorporated outside India, any dispute that cannot be resolved within thirty (30) days of written notice shall be finally settled by arbitration administered by the Mumbai Centre for International Arbitration (MCIA) under its rules in force at that time, by a sole arbitrator, with the seat in Jamshedpur, India, and the language English. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property, confidentiality, or licence rights.
17. Severability, waiver, assignment, entire agreement
If any provision is held unenforceable, the remainder remains in effect. A party's failure to enforce a right is not a waiver. You may not assign these Terms without our prior written consent; we may assign in connection with a merger, acquisition, or sale of substantially all assets, or to a successor entity formed to operate the Saneops business. These Terms (together with our Privacy Policy, DPA, and any signed order or beta program agreement) are the entire agreement between the parties on the subject matter and supersede prior or contemporaneous understandings.
